Introduction: the article analyzes the legal nature of the director’s liability for business company harm. The Russian and foreign doctrinal sources, legislation, and law enforcement practices are investigated. Purpose: to analyze the legal nature of the director’s liability for business company harm and to determine the place of this liability in the system of civil liability in Russian law. Methods: the methodological framework for the study is based on the methods of scientific cognition, in particular the methods of consistency, analysis, and comparative law. Results: the legal nature of the director’s liability for business company harm is determined. Conclusions: business company harm by the behavior of its director is one of the special torts. There are no grounds in Russian law to identify independent corporate liability.
